Who operates Palshell
Palshell is a product and website operated by Palphi LLC, based in Ohio, United States. In these terms, “we,” “us” and “our” mean Palphi LLC. “Palshell” refers to our website, desktop application and related licensing and support services.
These terms govern your use of Palshell. If you purchase on behalf of an organization, you must have authority to accept the applicable terms for that organization. Do not use Palshell if you cannot legally enter the applicable agreement.
Questions about these terms can be sent to support@palphi.com. Our Privacy Notice explains information handling, and our Refund Policy explains refunds and cancellation.
Licenses and editions
Subject to these terms and the edition you obtain, we grant you a non-exclusive license to use Palshell for your own personal or internal business purposes. We retain ownership of the application and its intellectual property. A purchase is a software license, not a transfer of ownership of Palshell.
- Hobbyist is the free edition. Paid editions provide the features described on the edition comparison and at the time of purchase.
- A paid named-user license permits that user to activate up to two computers. Do not share, resell or publish your license key, or use one named-user license for multiple users.
- A one-time purchase provides ongoing use of the purchased edition without a recurring license charge. Base software and Enterprise Add-on licenses never expire. App updates provided for the purchased version are included; major software upgrades may be priced separately. This does not guarantee perpetual support for every operating-system version or third-party integration.
- All currently advertised paid software licenses are one-time, perpetual licenses per user. Technical support is optional and sold separately; no software subscription is offered. The optional $700/user Enterprise Add-on can be added to Pro, MAX or Palshell One, not Hobbyist. It adds organization capabilities without replacing the base license or unlocking a higher edition’s engineering features. All add-on capabilities are marked Coming Soon. Planned features are not currently available and are not a promise of a particular delivery date.
Paid licenses require periodic online verification and may allow up to seven days of offline use between checks. Device limits and licensing checks must not be bypassed. Team purchases license individual users; separately agreed enterprise terms apply only where expressly stated.
Purchasing a higher edition is a separate purchase. Do not assume an upgrade credit, tier-change credit or prorated amount unless we expressly offer it in writing.
Software purchases and optional support
When paid purchases are available, Paddle acts as merchant of record and authorized reseller for transactions processed through its checkout. Paddle handles checkout, payment collection, applicable transaction taxes and billing receipts under its Buyer Terms. Palshell’s product license remains subject to these terms.
The applicable price, currency, billing frequency and final total must be shown before you pay. Software licenses have no recurring license charge. Optional annual support renews automatically only with explicit opt-in and clear disclosure. Cancel support renewal through the management link in your Paddle receipt or Paddle’s buyer support to prevent the next renewal. Cancellation ordinarily takes effect at the end of the paid billing period and is not itself a refund.
Our 30-day money-back guarantee covers eligible initial software-license purchases. Previously agreed first-payment refund rights remain unchanged. Support services follow their separate offer or agreement. Renewal charges are not covered by that additional voluntary guarantee; applicable consumer rights and Paddle’s policies still apply.
Technical support is optional and sold separately from Pro, MAX, Palshell One base licenses and the Enterprise Add-on. The current offer does not include a support year. Buying software does not create a paid support subscription or automatic renewal. See the support plans and coverage.
Separate paid support is annual, not monthly. Renewal is optional; automatic annual billing requires explicit opt-in and clear disclosure before purchase. Canceling future renewal preserves support through its paid-through date. Professional and Enterprise support upgrades require a confirmed offer showing timing and price adjustments; overlapping paid coverage and double billing must be avoided. Support upgrades do not change your software edition.
Support is limited to Palshell itself, not general IT consulting, customer-network configuration or device repair. Initial response targets are not guaranteed resolution times. Standard/Professional business hours, timezone and holidays must be published before sale; Enterprise service levels are defined in its contract. Support expiration never revokes a perpetual license. App updates, maintenance releases, critical security fixes, documentation and knowledge-base access remain available without paid support.
Annual support and remote Palshell application troubleshooting are subject to Paddle’s acceptance and final support terms. Public software and support checkout remain disabled during preparation.
Test checkouts and sandbox licenses are not live purchases and do not grant a production license. A displayed pricing option does not mean that paid checkout or a stable release is currently available.
Responsible use and connected systems
Use Palshell only with systems, networks, accounts, devices and data you are authorized to access. You are responsible for your credentials, permissions, local security, backups and changes you choose to make.
Do not use Palshell for unlawful access, fraud, malware, credential theft or infringement of another person’s rights. Do not redistribute the app or remove license controls except where expressly permitted or where a restriction cannot lawfully apply.
SSH, terminal commands, controller APIs and other network tools can change or interrupt systems. Review destinations, commands and API operations before approving them. Palshell is not a substitute for change control, independent verification or a recoverable backup.
AI assistance and third-party services
AI assistance is optional and uses the provider or endpoint you configure. You are responsible for the provider account, its terms, permissions and any separate API or subscription charges. An app license does not include third-party AI usage fees unless expressly stated.
AI responses may be inaccurate, incomplete or unsafe. Independently review suggestions, commands and configuration changes before using them. Do not submit credentials, personal data or confidential operational content unless you have authority and understand the destination’s data handling.
Third-party services, operating systems and APIs have their own terms and availability. We cannot guarantee their continued availability, compatibility or behavior. See the AI provider documentation and Privacy Notice for more information.
Software reliability and liability
Validate Palshell with your intended workflows and keep independent backups of important data. Public packages must complete signing and release validation before publication. Current availability and limitations are shown on the download page.
To the extent permitted by applicable law, Palshell is provided without a promise that it will be uninterrupted, error-free or suitable for every purpose. We do not guarantee that AI suggestions are correct or that the application will prevent every security incident or data loss.
To the extent permitted by law, Palphi LLC is not responsible for indirect or consequential losses arising from your use of Palshell, including losses caused by unauthorized access, unreviewed commands or unavailable third-party services. Nothing in these terms excludes liability or remedies that cannot lawfully be excluded, or reduces our express refund guarantee.
Ending paid access
You may stop using Palshell at any time. Uninstalling the app does not cancel an optional support subscription; use the billing cancellation route above.
A full refund ends the right to use the associated paid license. A payment reversal or dispute may affect license access while it is reviewed. Canceling optional support preserves paid-through support coverage and does not end a perpetual software license. Any previously agreed software-subscription rights remain governed by the terms of that original purchase.
We may restrict access for license misuse, unlawful activity or a material breach of these terms, with notice and an opportunity to resolve the issue where appropriate or required by law. An existing offline authorization may remain usable until its next required verification; revocation is not a promise of immediate removal from an offline device.
Applicable law, changes and contact
For the agreement between you and Palphi LLC, Ohio law applies to the extent permitted by applicable law. Mandatory consumer protections in your place of residence are not displaced. Paddle’s separate transaction terms govern your transaction with Paddle.
We may update these terms as Palshell or legal requirements change. A published revision will state its effective date, and material changes will be communicated where required. Changes do not retroactively remove a purchase’s promised refund rights. Where renewed consent is legally required, we will obtain it rather than assume it.
Please contact support@palphi.com with questions or concerns before escalating a dispute. This does not restrict your statutory remedies or lawful payment-dispute rights.
